Terms of Service
1. Acceptance of Terms
By accessing and using our services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use our services.
2. Description of Service
CAwise is a practice management platform built for Chartered Accountants and CA firms in India. It provides tools to manage clients, staff, workflows, and documents, with optional AI-powered features. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.
3. Subscription and Billing
All plans and recurring addons renew automatically at the end of each billing period via our payment partner. Renewals are processed without a separate advance notice.
If a payment fails, Razorpay will retry the charge automatically. If all retries are exhausted and the payment remains unsuccessful, your addon subscriptions will be deactivated immediately and your main plan will be marked as suspended. To restore access, update your payment details and settle any outstanding amount.
4. User Accounts
When you create an account with us, you agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
5. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Submit false or misleading information
- Distribute malware or other harmful content
- Engage in any activity that could harm or interfere with our services
6. Data Ownership
All data you upload or create on CAwise — including client records, documents, and financial information — belongs to you. CAwise processes this data solely to provide the services you have subscribed to and does not claim any ownership over it. You may request an export or deletion of your data at any time, subject to the terms of our Privacy Policy.
7. Data Backup and Storage Obligations
On Plan Cancellation
If you cancel your CAwise subscription, you are responsible for exporting or backing up any data, documents, or records you wish to retain before your plan expires. Manual data export is available at no additional charge.
If you require assistance with your backup, you may contact our team at contact@cawise.in within 30 days of cancellation. Assisted backups may or may not be chargeable depending on the nature and volume of the request — our team will confirm any applicable charges before proceeding.
After 30 days from the cancellation date, your account data may be permanently deleted in accordance with our Privacy Policy. We strongly recommend completing your backup before this period expires.
On Storage Plan Downgrade
If you downgrade to a lower-storage tier on the CAwise Storage track, you must reduce your storage usage to within the new plan's limit within 7 days of the downgrade taking effect.
For example, if your current plan includes 150 GB of storage and you downgrade to a 100 GB plan, you are required to remove or export at least 50 GB of data within 7 days of the downgrade.
If your usage is not brought within the new limit within this period, CAwise reserves the right to archive the excess data or temporarily suspend your account until the storage limit is met. This obligation applies only to accounts on the CAwise Storage track — it does not apply to BYOS accounts, where storage capacity is managed independently by the account holder.
8. Intellectual Property
The content, design, and functionality of our services are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.
9. Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from your use of or inability to use our services.
10. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of our services. Your use of our services is at your sole risk.
11. Indemnification
You agree to indemnify, defend, and hold harmless our company and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of our services or any violation of these terms.
12. Termination
We reserve the right to terminate your access to our services at any time, with or without cause, and with reasonable notice. Upon termination, your right to use our services will immediately cease.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Rajkot, Gujarat, India.
14. Changes to These Terms
We may modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
